These Terms of Use (the "Terms") govern your use of the Groovily mobile application and the website at groovily.app (together, the "Service"), provided by Panda Stats Media ("we," "us," or "Groovily").
By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Groovily turns short text messages into ~30-second songs that you can play, download, and share. You provide a message and pick a musical style; we generate a song and deliver it to your device. The Service is intended for personal entertainment use. It is not designed for commercial music production, professional broadcast, or any application that requires guaranteed accuracy, originality, or fitness for a specific purpose.
You must be at least 13 years old to use Groovily. If you are under the age of majority in your jurisdiction, your parent or legal guardian must agree to these Terms on your behalf.

Prices may vary by country and may change over time. Current prices are always shown in the app before you subscribe.
A 3-day free trial is offered on both subscription tiers when you subscribe for the first time. You will not be charged during the trial. If you do not cancel before the trial ends, your selected subscription begins automatically.
Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the period ends. Renewal charges are made to the payment method on file with your Apple ID.
Cancel anytime through your iPhone's Settings → [Your Name] → Subscriptions. Cancellations take effect at the end of the current billing period. We do not control cancellation flows; they are handled entirely by Apple.
All payments are processed by Apple under Apple's terms. To request a refund, visit reportaproblem.apple.com. We are unable to issue refunds directly.
Account creation is optional. You may use Groovily by paying through your Apple ID alone, in which case your subscription is tied to your Apple ID and not to any account on our service.
If you create an account, you are responsible for keeping your password secure. Notify us immediately at support@pandastats.net if you suspect unauthorized access. You may delete your account at any time inside the app at Settings → Delete Account.
You are responsible for the messages you submit. By submitting a message to Groovily, you confirm that:

We reserve the right to refuse generation, suspend access, or terminate accounts that violate these rules, with or without notice.
You retain whatever rights you already had in the text message you submitted.
The musical output is generated by an AI music model operated by our provider Mureka (Kunlun Tech Co.). Subject to your compliance with these Terms and Mureka's terms, you may play the song privately, download it to your device, and share it with friends, family, or social media followers in a personal, non-commercial context.
You may not sell, license, sublicense, or commercially distribute songs generated by Groovily; submit a Groovily-generated song to a music streaming service or claim publishing royalties on it; use a Groovily-generated song in commercial advertising, broadcast, or any paid context; or claim that you wrote the music yourself.
We retain all rights in the Service itself, including the app, the website, the brand, the visual design, the codebase, and all underlying technology. These Terms grant you a personal, non-transferable, non-exclusive, revocable license to use the Service for its intended purpose.
Groovily is built on top of an AI music generation model. AI models can produce unexpected, repetitive, low-quality, or off-prompt output. Groovily does not guarantee that any generated song will match your expectations, sound musically polished, accurately interpret your message, or be appropriate for any specific recipient or occasion. We provide the Service "as is" — see Section 9.
When you tap Generate for the first time, the app will show a one-time consent screen explaining that your message text is sent to Mureka for processing. You must tap "I Understand" to proceed.
We may modify, suspend, or discontinue the Service (or any feature within it) at any time, with or without notice. Where a change materially affects paying subscribers, we will provide reasonable advance notice. We do not guarantee uninterrupted availability.
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or free of harmful components.
We do not warrant the quality, accuracy, originality, or fitness of any generated song. AI-generated output is probabilistic and may vary widely.
To the fullest extent permitted by law, in no event will Panda Stats Media, its owners, employees, or contractors be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost data, or reputational harm, arising out of or in connection with your use of the Service, even if we were advised of the possibility of such damages.
Our total cumulative liability to you for any claim arising out of or related to these Terms or the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) USD $50.
You agree to indemnify and hold harmless Panda Stats Media, its owners, employees, and contractors from any claim, demand, loss, damage, or expense (including reasonable legal fees) arising out of (a) your use of the Service, (b) the messages you submit, (c) your violation of these Terms, or (d) your violation of any third party's rights.
This section applies to your use of Groovily on iOS devices.
The Service is also subject to Apple's Standard EULA for Licensed Application End User License Agreement, available at apple.com/legal/internet-services/itunes/dev/stdeula.
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or applicable law. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive (ownership, disclaimers, limitation of liability, indemnification, governing law) survive termination.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and notify you in the app or by email. Continued use of the Service after a change means you accept the updated Terms.
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms or the Service will be resolved in the state or federal courts located in Texas.
If you are a consumer in the European Union, the United Kingdom, or any other jurisdiction whose mandatory consumer-protection laws apply, those mandatory laws also apply, and nothing in these Terms removes rights you may have under them.
